Corporate Legal Associate

Roles and Responsibilities

  • Act as primary contact for clients, advising on corporate governance, statutory compliance, and regulatory matters.
  • Oversee corporate secretarial functions, including board/shareholder resolutions, minutes, filings, and maintenance of statutory registers.
  • Ensure timely and accurate filings with ACRA and other authorities.
  • Organize and coordinate board and shareholder meetings, including notices, agendas, and minutes.
  • Facilitate client onboarding, due diligence, and corporate document filings (e.g., Form 45, share certificates, Registrable Controllers).
  • Support corporate restructuring, share transfers, and liquidation matters and issuing/renewal of preference shares.
  • Advise clients on the sale or purchase of companies.
  • Advise clients on joint ventures and strategic partnerships, and general corporate matters.
  • Draft and review shareholder agreements, joint venture agreements, and company constitutions.
  • Handle complex client issues and escalate when necessary.

Requirements:

  • Bachelor's degree in Law (LLB) or equivalent; a Master's degree or professional qualification is a plus.
  • 3–5 years PQE, with strong experience in corporate secretarial work and corporate governance, preferably in law firms or in-house legal teams.
  • Familiarity with shareholder agreements, joint venture agreements, and company constitutions.
  • Strong knowledge of Singapore Companies Act 1967, corporate governance and ACRA filing requirements.
  • Excellent drafting, analytical, and communication skills.
  • Proven ability to manage multiple priorities, work independently, and handle confidential matters with discretion.
  • Proficient in Microsoft Office and legal management systems.
  • High attention to detail, professionalism, and ability to manage multiple clients/projects.
